Quick question


I've checked on Companies House website and see nothing in respect of delivery of documents concerning the liquidation of Rhyl Football Club Bellevue Limited.

Is it another company that is being liquidated as I'd have expected to see some movement on Companies House by now?

Roche and Jamieson have washed their hands of the process it seems.

Very dodgy, I was blocked on twitter for asking this question

I appreciate that Companies House filings can lag behind actual events, but not only is the old company still showing as Tradiing, there’s no sign of the new company being registered either.

That's why I asked the question. I'm an ACA and I just looked to see where the process was and it seems as if there's no process and was wondering if I was looking at the wrong company.

To update my comments of six weeks ago:

On 6 May 2020 a new company, Rhyl FC Limited, Company No. 12588283,("Newco"), was incorporated. The directors were Adam Roche, Thomas Jamieson and Paul Higginson, each recorded as a "Person with Significant Control" of the new company.

The Registered Office address filed on 6 May 2020 is Belle Vue Stadium, suggesting that a deal to play at Belle Vue was in place well before the announcement of the owner's supposed U-turn.

Purchase by Newco of the stadium's fixtures and fittings for a nominal sum, or possibly a nil consideration as the fixed assets will have already been written down to zero, would have been made easier by the fact that Rhyl Football Club Bellevue Limited, Company No. 3026245 ("Oldco") was, and still is, in existence. Despite earlier Press comments regarding liquidation and winding up, to date no papers appear to have been filed.

The structure of Newco as a private company limited by guarantee with no share capital replicates that of Oldco.

Messrs Roche and Jamieson resigned as directors of Oldco on 28 May 2020, but no resignations are recorded for Paul Higginson and, surprisingly, the other six directors.

Interestingly, on 16 June 2020 Paul Higginson resigned as a director of Newco.

It is unfortunate that certain individuals appear to regard a desire to obtain an explanation for the decision to form a new club and a substantiation of the £175K funding requirement as an attack on fans working towards getting the new club off the ground.

A simple statement from the founder directors of Newco Rhyl FC Limited to answer these obvious questions would hopefully lessen the wariness of many long time supporters and former club stalwarts and enable us all to move on together.

As I have previously stated, I have supported Rhyl in both the English and Welsh systems and will continue to do so wherever they play, but a few answers would make things a lot easier all round.

More transparency and better communication. Something that's been the missing link between the fan base for years. Maybe the RFA could communicate a clear update on how things happened and the process of how the new club has been formed. From the outside, everything looks so shady and dodgy. Not great is it.

Great spot on Higginson's resignation. Hadn't checked the Newco in a while.

For me Roche blocking me on his personal social media, and the club's official twitter for asking these questions shows the contempt they have towards fans concerns, and I strongly discourage any support while he remains in charge, as it appears he wants sheep to follow the blind sheepdog.
